This is Misconception Monday, where we tackle common misconceptions in business law, business and society generally. This week, we’re talking about a general misconception around tax deductions.

You’ve probably heard that you can save money on taxes by making charitable donations to get you below a certain tax bracket. If you really understand the tax system, you’d realize why that simply isn’t true. The math just doesn’t add up!

By donating, you change your effective taxable income (and do some societal good), but you will still take home less at the end of the day.

Charitable donations will reduce your overall tax burden, but the bottom line is that they won’t increase your net income.

This is Misconception Monday, where we tackle common misconceptions in business law, business and society generally. This week, we’re touching on business law.

You’ve probably heard that you can save money on taxes by incorporating in a different state than where you live. That’s broadly incorrect.

You pay tax where you earn the income.

States like Nevada and Delaware like to emphasize that they don’t charge corporate tax. But, you’re going to pay income tax where you earn the income. In fact, by incorporating in a different state, you’ll have to file as a foreign corporation and end up having to pay more filings. So, you’re really creating more work and expenses for yourself in a fruitless pursuit to pay fewer taxes.

Now, large companies with intellectual property or intangibles like patents do stand to benefit from creative structuring; however, small and even medium sized businesses don’t see benefits by seeking to incorporate in Delaware or other, similarly attractive states for tax purposes.

This is Misconception Monday, where we tackle common misconceptions in business law, business and society generally. This week, it’s about business law.

So, what is an S-Corporation? Well, it’s not – as many would think – a type of entity. An S-Corp is simply an election or a request an LLC or corporation makes to the IRS for S-Corp tax treatment.

Now, that may or may not have distinct tax advantages for you, but it’s important to note that there is legal structure and tax structure and they don’t need to be the same thing. A corporation can choose to be taxed as a corporation or as an S-Corporation while an LLC has a multitude of tax structures to choose from – a corporation, S-Corp, partnership, etc.
